Please read these Terms carefully. They explain your rights and responsibilities when you use Reback to invoice, get paid, and hold funds safely in escrow.
1. Agreement to these terms
These Terms of Service (the “Terms”) form a binding agreement between you and Reback Finance (“Reback”, “we”, “us”) and govern your access to and use of the Reback platform, apps, APIs and related services (together, the “Services”). By creating an account, or by accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of a business, you confirm you are authorised to bind that business, and “you” includes that business.

Reback provides invoicing, payment-facilitation and escrow tooling. We are not a bank and do not provide banking, deposit or lending services. Regulated payment, escrow and custody functions are provided through licensed payment processors and financial partners; the specific licences, partners and regulatory permissions that apply to your country are [to be confirmed by legal/compliance].
2. Eligibility and accounts
To use Reback you must:
- be at least 18 years old and able to form a binding contract;
- be resident in, or operate a business in, a country where Reback is available;
- provide accurate, current and complete information when you register and keep it up to date; and
- not be barred from using the Services under applicable law or listed on any sanctions list (see our AML & KYC Statement).
You are responsible for all activity under your account and for keeping your credentials, PIN and any one-time codes confidential. Notify us immediately if you suspect unauthorised access. We may require additional authentication (for example a PIN and one-time password) for sensitive actions such as adding a payout destination or withdrawing funds.
3. Identity verification (KYC / KYB)
Because Reback facilitates payments and holds funds in escrow, we are required to verify the identity of the people and businesses that use the Services. Verification is tiered: higher transaction and balance limits require a higher verification level. Depending on your country and level you may be asked to provide government identity details or documents, business-registration details, and a live selfie for liveness checks.
We may limit, suspend or refuse Services if you do not complete verification, if information cannot be verified, or if screening identifies a risk. Full details are in our AML & KYC Statement, and information about how this data is handled is in our Privacy Policy.
4. The Reback Services
Subject to these Terms, Reback provides tools that let you:
- Invoicing. Create, send and manage professional invoices, including offers and negotiation between a seller and a buyer.
- Payments. Accept payment by card, bank transfer and mobile money, and (where available) through virtual bank accounts, processed by our payment partners.
- Escrow / buyer & seller protection. Hold the buyer’s payment securely while an order is fulfilled, and release it to the seller once the buyer confirms delivery or an agreed inspection period elapses.
- Disputes and appeals. Raise, respond to, resolve and escalate disputes over an escrowed transaction.
- Subscriptions. Subscribe to Reback plans, including metered usage where applicable.
- Withdrawals / payouts. Move your available balance to a verified bank or mobile-money destination.
- Multi-currency and multi-country. Transact in supported currencies and countries; feature availability varies by country and currency.
We may add, change, or remove features. We will give reasonable notice of material changes that adversely affect how you use the Services, where practicable.
5. Payments and payment processors
Card, bank-transfer and mobile-money payments are processed by third-party payment processors (such as Paystack and Flutterwave, and others we may add). When you pay or get paid through Reback, you also agree to the applicable processor’s terms.
Reback does not store your full card number. Card details are collected and tokenized by our PCI-DSS-compliant payment processors; Reback receives a token and limited metadata (such as card brand and the last four digits), not the raw card number. See our Security and Privacy Policy pages for details.
You authorise us and our processors to initiate the charges, transfers, payouts and refunds needed to provide the Services. You are responsible for the accuracy of the payment and payout details you provide.
6. Escrow and buyer / seller protection
When a transaction uses escrow, the buyer’s payment is held after payment and is not immediately available to the seller. Funds held in escrow are released to the seller when:
- the buyer confirms the order has been delivered as agreed; or
- an agreed inspection window elapses without the buyer raising a dispute; or
- a dispute is resolved in favour of release, whether by agreement between the parties or through Reback’s dispute process.
Funds held in escrow are not withdrawable by the seller until the transaction reaches a released state. If a dispute is raised during the inspection window, the release clock is paused until the dispute is resolved. Reback may reverse, hold, or return escrowed funds where required to give effect to a dispute outcome, a refund, a chargeback, a legal or regulatory requirement, or these Terms.
Escrow and buyer/seller protection are transaction-processing features of the Services and are not insurance. The scope, eligibility and any limits of buyer/seller protection, and the exact inspection and release timelines, are [to be confirmed by legal/compliance].
7. Fees and charges
Reback and its payment partners may charge fees for transactions, escrow, payouts, currency handling and subscriptions. Applicable fees are shown before you complete a transaction or subscribe, or are set out in your plan. All amounts are handled internally in the smallest unit of the relevant currency to avoid rounding errors, and displayed in that currency.
Product limits (such as per-transaction and balance limits) depend on your verification level and may vary by business and country. We may change fees and limits; we will give notice of changes where required. You are responsible for any taxes that apply to your transactions, except taxes on Reback’s own income.
8. Withdrawals and payouts
You may withdraw your available (released, non-escrowed) balance to a verified payout destination. To protect against fraud, adding or changing a payout destination may require step-up authentication (for example a PIN and a one-time password), and the destination account’s name must match your verified identity or business. We may reject or reverse a payout to a destination that does not match, or that we reasonably believe is fraudulent, unauthorised, or non-compliant.
Payouts are settled in the currency in which the funds were received; Reback does not perform an unrequested currency conversion on a payout. Payout timing depends on the destination, the payment rail and our partners’ processing times.
9. Disputes, appeals and chargebacks
If a buyer and seller disagree about an escrowed transaction, either party may raise a dispute within the applicable window. The parties can attempt to resolve the dispute directly (including proposing a full or partial refund, accepting, rejecting or conceding). Where the parties cannot agree, the dispute may be escalated to Reback, and Reback may make a resolution decision and direct the release, refund or partial settlement of the escrowed funds. You agree to cooperate and to provide accurate information and evidence.
Card and bank payments may also be subject to chargebacks initiated through the payment network or the payer’s bank. You agree to assist us in responding to chargebacks and that we may debit or hold funds to cover chargebacks, reversals and related costs.
10. Subscriptions and billing
Paid plans are billed in advance on a recurring cycle (for example monthly). Unless you cancel, your subscription renews automatically at the start of each cycle using your saved payment method, and you authorise us and our processors to charge it. If a charge fails, we may apply a grace period and retry before restricting paid features.
If you change plans mid-cycle, we may prorate the difference and issue account credit or an additional charge as applicable. You can cancel a subscription at any time; cancellation takes effect at the end of the current billing cycle and, unless required by law or stated otherwise, fees already paid are non-refundable. Prices are server-authoritative: the price shown at checkout, as confirmed by Reback, governs.
11. Refunds
Where a refund is due on a payment made through Reback, it is returned to the original payment source used for that payment. Reback does not send refunds to a different account or destination. The amount, timing and eligibility of a refund depend on the transaction, any dispute outcome, and our partners’ processing times.
12. Acceptable use and prohibited activities
You must use the Services lawfully and in line with our Acceptable Use Policy. Among other things, you must not use Reback to facilitate fraud, money laundering, terrorist financing, sanctions evasion, or the sale of prohibited or illegal goods and services; to infringe others’ rights; or to circumvent our security, verification or risk controls. Certain business categories are restricted or prohibited.
13. Location information
To help detect and prevent fraud and to meet regulatory obligations, Reback requires device location (GPS) for certain actions, such as creating an invoice or completing a transaction. If you do not grant or enable location access where it is required, you may be unable to complete those actions. How we use location data is described in our Privacy Policy.
14. Your content and responsibilities
You retain ownership of the content you submit (such as your business details, invoice line items, logos and messages). You grant Reback a worldwide, non-exclusive licence to host, process and display that content solely to provide and improve the Services. You are responsible for your content and for your dealings with your customers and counterparties, including the accuracy of your invoices and the goods or services you provide.
15. Intellectual property
The Services, including the Reback software, design, brand and documentation, are owned by Reback and its licensors and are protected by intellectual-property laws. We grant you a limited, revocable, non-transferable, non-exclusive right to use the Services as permitted by these Terms. You may not copy, modify, reverse-engineer, resell, or create derivative works from the Services except as allowed by law.
16. Third-party services
The Services rely on and may link to third parties (such as payment processors, identity-verification providers, and communications providers). Your use of those services may be subject to their own terms and privacy notices. Reback is not responsible for third-party services it does not control, though we choose our partners carefully.
17. Suspension and termination
We may suspend, restrict or terminate your access to the Services, or hold funds, if we reasonably believe you have breached these Terms or our policies; if required by law, a court, a regulator or a payment partner; to prevent fraud, security or legal risk; or if verification or screening cannot be completed. Where we can, and where doing so does not create legal or security risk, we will tell you why.
You may close your account at any time. Some obligations survive termination, including outstanding fees, chargeback and refund liability, and the sections on intellectual property, disclaimers, liability and governing law. We will handle any remaining balance and data in line with applicable law and our Privacy Policy.
18. Disclaimers and limitation of liability
To the maximum extent permitted by law, the Services are provided “as is” and “as available” without warranties of any kind, whether express or implied. Reback does not warrant that the Services will be uninterrupted, error-free or secure, or that they will meet your requirements.
To the maximum extent permitted by law, Reback is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data. The specific caps and exclusions on Reback’s liability, and any mandatory consumer rights that cannot be excluded in your country, are [to be confirmed by legal/compliance]. Nothing in these Terms excludes liability that cannot be excluded by law.
19. Indemnity
To the extent permitted by law, you agree to indemnify and hold Reback and its partners harmless from claims, losses and costs (including reasonable legal fees) arising from your breach of these Terms or our policies, your content, your transactions with counterparties, or your misuse of the Services.
20. Governing law and dispute resolution
The governing law, jurisdiction, and any arbitration or dispute- resolution process that apply to these Terms are [to be confirmed by legal/compliance] and may vary by the country in which you use the Services. Nothing in these Terms affects mandatory consumer-protection rights available to you in your country of residence.
21. Changes to these terms
We may update these Terms from time to time. If we make material changes, we will provide notice (for example by posting the updated Terms with a new “last updated” date, or by notifying you in the app or by email). Your continued use of the Services after the changes take effect means you accept the updated Terms.
